About StartMNBusiness — Minnesota LLC & Business Formation

Why this exists

When I started helping clients form businesses, the options were: pay an attorney $1,200 or more, use a national filing service that upsells you on registered agent subscriptions and annual "compliance packages," or try to figure out the Secretary of State website yourself.

None of those felt right. The attorney route is expensive for something that is, in most cases, a straightforward filing. The national services are cheap upfront and expensive over time. And doing it yourself is fine — but most people don't know what they don't know about operating agreements, EINs, or S-corp elections.

So I started doing it for a flat fee. Articles filed, EIN obtained, operating agreement drafted, renewal date in writing. Done. No subscription, no upsells, no annual "maintenance" charge.

On nonprofits

In 2009 I founded a 501(c)(3) and have run it ever since. That means I've been through the full formation process from the inside — articles, bylaws, EIN, Form 1023, and the IRS review — not just as someone who fills out forms for other people. If you're starting a nonprofit and you're worried about the Form 1023, that's the part I actually know well.

One thing to be clear about

I am not an attorney and this is not legal advice. I prepare and file business formation documents. If your situation involves complex ownership structures, investor agreements, or anything that genuinely needs legal counsel, I will tell you that before taking your money.
